Terms of Service

These Terms of Service ("Terms") govern your use of Whao, a white-label SEO reporting platform for marketing agencies, provided by Catello Z. ("Whao", "we"). By creating an account you agree to these Terms and to our Data Processing Agreement. This is a business-to-business (B2B) service — it is not intended for consumers.
1. The service
Whao lets marketing agencies connect their clients' Google Analytics 4 and Google Search Console properties, and build white-label SEO reports around that data under the agency's own branding.
2. Your account
- You must provide accurate information when signing up and keep your login credentials confidential.
- You are responsible for all activity that happens under your account, including any Google accounts you connect through it.
- You must be legally authorised to act on behalf of the agency you register, and to connect the Google accounts of the End Clients you add.
- You must tell us promptly if you suspect unauthorised access to your account.
3. Acceptable use
You agree not to:
- Use Whao to store or process data you are not authorised to process (for example, connecting a Google Analytics property you don't have permission to access);
- Attempt to access another agency's account, data, or reports;
- Reverse-engineer, scrape, or attempt to bypass the security or rate limits of the service;
- Use the service to violate any applicable law, including data protection law towards your own End Clients;
- Resell or sublicense the service itself (as opposed to the reports you generate with it, which are yours to share with your clients).
4. Your data and your clients' data
As between you and Whao, you own the data you enter about your End Clients and the reports you create. Our processing of that data on your behalf is governed by our Data Processing Agreement, which forms part of these Terms. You are responsible for having a lawful basis to collect and share your End Clients' data with us, including obtaining any consents your End Clients require from their own website visitors.
5. Intellectual property
Whao and its underlying software, design, and branding are our property or that of our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service for your agency's internal business purposes for as long as your account is active. Reports you generate, and the branding/content you upload (your logo, colours, client data), remain yours.
6. Availability and changes
We aim to keep Whao available and reliable, but during this beta phase we do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the service, and we will make reasonable efforts to notify active accounts of material changes in advance.
7. Termination
You may stop using Whao and delete your account at any time from Settings. We may suspend or terminate an account that breaches these Terms, poses a security risk, or is used unlawfully. Upon termination, your data is deleted in accordance with our Privacy Policy and Data Processing Agreement.
8. Disclaimer and limitation of liability
The service is provided "as is" during this beta phase, without warranties of any kind, express or implied, including as to accuracy of the SEO metrics retrieved from third-party APIs (Google), fitness for a particular purpose, or non-infringement. To the maximum extent permitted by applicable law, Whao's total liability arising out of or relating to these Terms or the service is limited to the amounts actually paid by you for the service in the twelve (12) months preceding the event giving rise to the liability (which, during the current free/beta period, is zero). We are not liable for indirect, incidental, or consequential damages, or for loss of data to the extent caused by your failure to use the account deletion or export tools available to you. Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for death, personal injury, fraud, or gross negligence).
9. Governing law
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts of Roma, Italia, save for any mandatory consumer- or data-protection-related jurisdiction rights you may have under your local law that cannot be waived.
10. Changes to these Terms
We may update these Terms from time to time. We will notify active accounts of material changes by email or in-app notice before they take effect. Continued use of Whao after a change becomes effective constitutes acceptance of the updated Terms.
